We do this by:<\/strong><\/p>\n<ol>\n<li>Understanding our roles and responsibilities;<\/li>\n<li>Agreeing our vision, purpose and values and making sure that they remain relevant;<\/li>\n<li>Developing, resourcing, monitoring and evaluating a plan to make sure that our organization achieves its stated purpose.<\/li>\n<li>Managing, supporting and holding to account staff, volunteers and all who act on behalf of the organization.<\/li>\n<\/ol>\n<p><strong>Principle 2.<\/strong><\/p>\n<p><strong>Exercising control over our organization. We do this by:<\/strong><\/p>\n<ol>\n<li>Identifying and complying with all relevant legal and regulatory requirements;<\/li>\n<li>Making sure that there are appropriate internal financial and management controls;<\/li>\n<li>Monitoring progress and spending against plan and budget and reviewing ;<\/li>\n<li>Identifying major risks for our organization and deciding ways of managing the risks.<\/li>\n<\/ol>\n<p><strong>Principle 3.<\/strong><\/p>\n<p><strong>Being transparent and accountable. We do this by:<\/strong><\/p>\n<ol>\n<li>Acting according to high ethical sdardards;<\/li>\n<li>Identifying those who have a legitimate interest in the work of our organization (stakeholders) and making sure that there is regular and effective communication with them about our organization;<\/li>\n<li>Responding to stakeholders\u2019 questions or views about the work of our organization and how we run it;<\/li>\n<li>Encouraging and enabling the engagement of those who benefit from our organization in the planning and decision-making of the organization.<\/li>\n<\/ol>\n<p><strong>Principle 4.<\/strong><\/p>\n<p><strong>Working effectively. We do this by:<\/strong><\/p>\n<ol>\n<li>Making sure that our governing body, individual board members, committees, staff and volunteers understand their: role, legal duties, and delegated responsibility for decision-making.<\/li>\n<li>Making sure that as a board we exercise our collective responsibility through board meetings that are efficient and effective.<\/li>\n<li>Making sure that there is suitable board recruitment, development and retirement processes in place.<\/li>\n<li>Giving motivation to young volunteers to become a board members.<\/li>\n<\/ol>\n<p><strong>Principle 5.<\/strong><\/p>\n<p><strong>Behaving with integrity. We do this by:<\/strong><\/p>\n<ol>\n<li>Open communications, informing people about the organization and its work;<\/li>\n<li>Being honest, fair and independent;<\/li>\n<li>Understanding, declaring and managing conflicts of interest and conflicts of loyalties;<\/li>\n<li>Listening and responding to the views of supporters, funders, beneficiaries, service users and others with an interest in the organization\u2019s work.<\/li>\n<li>Protecting and promoting our organization\u2019s reputation.<\/li>\n<\/ol>\n<p>We confirm that our organisation is committed to the standards outlined in these principles. We commit to reviewing our organisational practice against the recommended actions for each principle every year.<\/p>\n<p><strong>\u00a0<\/strong><\/p>\n<ol start=\"2\">\n<li>\n<h4><strong>Functions, Roles, and Responsibilities of a Leadership Team<\/strong><\/h4>\n<\/li>\n<\/ol>\n<p><strong>\u00a0<\/strong><\/p>\n<p><strong>Board Member Criteria<\/strong><\/p>\n<ul>\n<li>Has time to invest in meetings &amp; representation;<\/li>\n<li>Believes in mission and goals;<\/li>\n<li>Understands and accepts legal responsibilities;<\/li>\n<li>Has a skill, talent, or access to resources of benefit;<\/li>\n<li>Has a passion for the people the agency serves;<\/li>\n<li>Understands basic financial reports such as budgets, balance;<\/li>\n<li>sheets, profit &amp; loss statements;<\/li>\n<li>Likes to work on a team;<\/li>\n<li>Will work for the agency without expectation of reward;<\/li>\n<li>Has solid educational Base;<\/li>\n<li>Length of service on Association is more than 2 years;<\/li>\n<li>Involvement in Voluntary Family Planning Work is solid and effective;<\/li>\n<\/ul>\n<p><em>Current Professional \/Government\/Socio Civic Appointments is advantage.<\/em><\/p>\n<p><strong><em>\u00a0<\/em><\/strong><strong><em>Responsibilities (job description) of Board<\/em><\/strong><strong><em>\u00a0<\/em><\/strong><\/p>\n<ul>\n<li>Determine mission and vision and prominent strategic plan;<\/li>\n<li>Hire\/fire, evaluate, support the Executive Director;<\/li>\n<li>Develop policies governing staff management;<\/li>\n<li>Ensure effective organizational planning;<\/li>\n<li>Ensure adequate financial base;<\/li>\n<li>Ensure integrity of financial operations;<\/li>\n<li>Periodically review agency compliance with mission and values statements;<\/li>\n<li>Evaluate the work of ED and make written appraisal.<\/li>\n<li>Maintain records of board activities and decisions;<\/li>\n<li>Represent agency to constituencies;<\/li>\n<li>Assess its own performance<\/li>\n<li>Governing Body Members and senior staff complete a conflict of interest declaration annually and are these reviewed by the Governing Body regularly<\/li>\n<li>To Insure diversity of the board by actively trying to involve young in its Governing Body; ( the person is able to become members of the governing body, if she\/he is volunteer of the organization at least 1 year)<\/li>\n<li>Governing Body should be composed of individuals with a diverse set of skills, backgrounds and experiences;<\/li>\n<li>the representative of the governing body of the Association \u201cHERA-XXI\u201d are volunteers and they can\u2019t apply for any paid position within the Association, unless they have tendered their resignation and at least 6 months has passed;<\/li>\n<\/ul>\n<p><strong><em>The governing body should be composed at least 50% of women and 20% young people below the age 25.<\/em><\/strong><\/p>\n<p><strong><em>\u00a0<\/em><\/strong><\/p>\n<p><strong><em>Structure of Governing Body\/Board \u00a0<\/em><\/strong><\/p>\n<ul>\n<li>President<\/li>\n<li>Vice-Chair<\/li>\n<li>Secretary<\/li>\n<li>Treasurer<\/li>\n<li>Branch representative<\/li>\n<\/ul>\n<p><strong><em>Role\/Responsibility of the President<\/em><\/strong><\/p>\n<ul>\n<li>Manages Board and Board members meetings;<\/li>\n<li>Maintains meeting discipline of time, agenda, and facilitates decision-making;<\/li>\n<li>Appoints all Committee Chairs;<\/li>\n<li>Assists the Executive Director (staff) with agenda development;<\/li>\n<li>Oversees process of hiring a new Director;<\/li>\n<li>Coordinates Board self-assessment;<\/li>\n<li>Acts as spokesperson or the agency;<\/li>\n<li>Consults with Board members on their performance<\/li>\n<li>Decides the accessibility on Board meeting essential documents together with Board<\/li>\n<\/ul>\n<p><strong><em>Role\/Responsibility of the Vice President<\/em><\/strong><\/p>\n<p><strong><em>\u00a0<\/em><\/strong><\/p>\n<ul>\n<li>Understands the responsibilities of the Board Chair and is willing and able to perform these duties in the absence of the chair;<\/li>\n<li>Serves on Board Meetings;<\/li>\n<li>Carries out special assignments as requested by the Chair;<\/li>\n<\/ul>\n<p><strong><em>Role\/Responsibility of the Treasurer<\/em><\/strong><\/p>\n<ul>\n<li>Serves as financial consultant and is a watchdog in financial management field;<\/li>\n<li>Works with the Executive Director and Chief Financial Officer (staff) to ensure reports are accurate &amp; clear;<\/li>\n<li>Assists with preparation of the annual budget;<\/li>\n<li>Reviews annual audits and answers Board questions<\/li>\n<\/ul>\n<p><strong><em>Role\/Responsibility of the Secretary<\/em><\/strong><\/p>\n<ul>\n<li>Prepare documentary agendas;<\/li>\n<li>Maintains &amp; Legally; Ethically;<\/p>\n<ul>\n<li>Ensures development of a multiple-year strategic plan that is updated every 5 years;<\/li>\n<li>Links meeting agendas and decisions directly to the strategic plan;<\/li>\n<li>Ensures that all components of the association are charged appropriately and are working in alignment toward implementation of the strategic plan;<\/li>\n<\/ul>\n<p>Ensures the financial integrity of the association<\/p>\n<ul>\n<li>Setting financial policies tied to programmatic goals;<\/li>\n<li>Developing and approving an annual budget linked to the strategic plan;<\/li>\n<li>Monitoring financial outcomes and performance;<\/li>\n<li>Viewing finances and resource mobilization sustainability perspectives;<\/li>\n<\/ul>\n<p>Ensures that individual board members participate responsibly by committing the necessary \u00a0\u00a0time and coming to meetings well-prepared;<\/p>\n<ul>\n<li>Doing appropriate board-level work between meetings;<\/li>\n<li>Keeping politics in perspective;<\/li>\n<li>Supporting board decisions and association policies to members<\/li>\n<\/ul>\n<p>Operates as a high-performing team by<\/p>\n<ul>\n<li>Working effectively together;<\/li>\n<li>Solving problems effectively;<\/li>\n<li>Getting results;<\/li>\n<\/ul>\n<p>Maintains a strong partnership with the chief staff executive by<\/p>\n<ul>\n<li>Setting guidelines for authority, responsibility, and accountability;<\/li>\n<li>Nurturing open, frequent, and honest communication in both directions;<\/li>\n<li>Providing a mutually supportive environment;<\/li>\n<\/ul>\n<p>Evaluates each of these on an annual basis:<\/p>\n<ul>\n<li>Association policies;<\/li>\n<li>Financial performance;<\/li>\n<li>The staff executive;<\/li>\n<li>Board performance;<\/li>\n<li>Performance of all components of the organization<\/li>\n<\/ul>\n<ol start=\"3\">\n<li>\n<h4><strong>KNOWLEDGE AND SKILL REQUIREMENTS for BOARD MEMBERSHIP<\/strong><\/h4>\n<\/li>\n<\/ol>\n<p><strong>\u00a0<\/strong><\/p>\n<ul>\n<li>Experience in strategic planning and execution;<\/li>\n<li>Knowledge of contracting, negotiating, and change management;<\/li>\n<li>Skill in examining and re-engineering operations and procedures;<\/li>\n<li>Experience in formulating policy and developing and implementing new strategies and procedures<\/li>\n<li>Ability to develop financial plans and manage resources;<\/li>\n<li>Ability to analyze and interpret financial data;<\/li>\n<li>Knowledge of public relations principles and practices;<\/li>\n<li>Knowledge of communication and public relation techniques;<\/li>\n<li>Ability to develop and deliver presentations;<\/li>\n<li>Ability to identify and secure funding\/revenue sources;<\/li>\n<li>Professional written and verbal communication skills;<\/li>\n<li>Ability to communicate and interact with officials at all levels of government and to work effectively with a wide range of constituencies in a diverse community;<\/li>\n<li>Ability to motivate teams and simultaneously manage several projects<\/li>\n<\/ul>\n<ol start=\"4\">\n<li>\n<h4><strong>The Board and the Exhaustive Director Relationship<\/strong><\/h4>\n<\/li>\n<\/ol>\n<p><strong>\u00a0<\/strong><\/p>\n<p>The Board\u2019s obligations to the ED include:<\/p>\n<ul>\n<li>Compensation, benefits, and a working atmosphere that make the ED\u2019s position attractive to the best possible candidates;<\/li>\n<li>A clear duty statement and performance goals;<\/li>\n<li>Regular formal performance reviews;<\/li>\n<li>Constructive informal feedback on job performance;<\/li>\n<li>Rewards for tasks well done; and<\/li>\n<li>Prompt and thoughtful response to request for guidance or assistance.<\/li>\n<\/ul>\n<p>The ED\u2019s obligations to the Board include :<\/p>\n<ul>\n<li>Commitment to the organisation\u2019s mission and sensitivity to the communities it serves;<\/li>\n<\/ul>\n<ul>\n<li>Responsible performance of fundamental organisational and administrative tasks;<\/li>\n<li>An administrative structure and decision-making mechanism that promote a productive working atmosphere and effective staff relations;<\/li>\n<li>Thorough and timely communication with the Board on financial and administrative matters;<\/li>\n<li>Effective representation of the organisation in the community and commitment to enhancing its public image;
